Responsibilities:
This position acts as legal counsel supporting the global commercial legal needs of (a) the Channel business unit and (b) the Corporate Marketing and Communications function.
The Channel business unit manages more than 600 distributors around the world and with $3 billion in sales, accounts for approximately 22% of our global sales. We have a mix of global primary distributors, global catalog distributors and regional distributors. The Channel business units works with all of our business units to develop strategies to deliver sales growth, particularly in markets where we do not serve customers directly such as emerging economies and regions. The Corporate Marketing and Communications function works closely with TE's senior management and the business segments and units around the world to develop and implement communication strategies that ensure all of our key audiences are aware of our company, our products and our people. There are three departments within the function: (1) the Internal Communications team delivers employee communication through a variety of media, (2) the Corporate Communications team coordinates a variety of external communications efforts for the company, including media relations, and (3) the Global eBusiness team develops and implements strategies to deliver strong business results through effective electronic communications with customers, vendors and employees.
The core requirement of the position is to provide sound legal advice and management of legal issues to the entire business unit. In addition to providing counseling to the business, the incumbent is a key member of the business unit's senior leadership team and participates in the decision-making with respect to the formation of strategy and operating plans. The attorney will work collaboratively with other functions to review and negotiate customer agreements, deliver training and enforce compliance requirements, provide legal advice and recommend paths to effective resolution of quality issues and disputes, and identify and mitigate legal risks. In addition to providing counseling to the senior leadership team of the business, the attorney will enforce compliance requirements, provide legal advice and protect the company's interests by identifying and mitigating legal risks within the General Counsel's supervision and the relevant laws and regulations
Requirement:
The legal counsel acts as the primary attorney for the Channel business and the Marketing and Communications function. In both roles, the counsel will interact with senior executives from various functions to held the business achieve its strategic goals.
For the Channel business, the legal counsel is responsible for providing support on globally issues, including vetting all major programs and projects for legal issues and advising on structuring the programs to achieve the business objectives while minimizing legal exposure. The legal counsel is also responsible for coordinating the negotiation and implementation of contracts, reviewing marketing materials, and addressing intellectual property issues that arise in the context of our distribution channels. The legal counsel manages our distributor compliance program, which includes providing legal advice, delivering training, performing pre-contract due diligence and overseeing the annual compliance certification process. Finally, the legal counsel will coordinate our retained global outside legal counsel resource.
For the Marketing and Communications function, the legal counsel is responsible for reviewing internal communications and external advertising materials prior to release, and coordinating the negotiation of contracts, including advertising placement contracts, vendor agreements related to our eBusiness platforms. The legal counsel will provide advice on issues related to communications and data usage, including international data privacy issues that may be raised by use of customer contact data and the use of social networks by TE employees.
In fulfilling the above requirements, the legal counsel must have the demonstrated ability to: Legal Advice: Draft, review and propose modifications to commercial agreements and other contracts; manage quality issues and other customer-related demands; supervise, coordinate, monitor, give advice and identify key issues in ad hoc projects. People Management and Development: Supervise the day-to-day activities of legal assistants and contract specialists in order to deliver quality service to internal clients; mentor, train, develop and motivate staff and provide their performance feedback with the goal of enhancing and retaining talent; determine the appropriate allocation of resources to meet current and future needs. Compliance Management: Provide compliance training to employees in order to educate them regarding company policies and compliance requirements; communicate, investigate and take necessary actions to enforce compliance requirements in order to ensure that the company's current or proposed activities, policies, business practices, and transactions comply with all relevant laws and regulations. Work with other TE attorneys to manage processes and training sessions. Dispute Resolution: Manage disputes; gather and review facts and information; provide preliminary opinion on exposure and downside risk assessment; recommend a path to resolve the disputes; and oversee necessary execution in order to ensure that disputes are resolved in a manner that best protects the company's interests.
Legal Policies and Protocols: Research and draft the legal department's policies, procedures and protocols in order to put in place a systematic and orderly legal department for the region and better support the company's legal needs.
Requirements and Qualifications:
Graduate from an accredited law program or a law degree Licence to practise law in at least one jurisdiction
At least eight years' experience in a law firm with a practice focus on the laws and regulations applicable to distribution sales in at least one jurisdiction and preferably on a global basis, and a working knowledge of applicable US anti-trust laws, with an understanding of EU regulations, the US FCPA and UK Bribery Act, and experience related to distributor rebates and co-op programs. Experience with marketing and communications issues such as e-business, product defamation and privacy is a plus. In-house experience with a multinational enterprise with global operations is also a plus.
