Under general supervision of the division lead attorney, provides legal advice and assistance to ! corporate, divisional regions, and subsidiaries relative to the Company’s business activities, keeping the business within the limits prescribed by law and internal corporate compliance and policy. AmerisourceBergen’s legal associates are fully integrated with business operations and are expected to protect the Company’s interest from a legal perspective; identify and minimize risks; and provide timely, accurate and effective advice on the Company’s behalf.

Primary Duties and Responsibilities:
1. Primarily support the drug distribution business unit with an emphasis on community and specialty pharmacy.

2. Prepare and review various contracts including pharmaceutical distribution agreements, commercial and credit transactions, purchases, sales, marketing agreements, letters of intent, confidentiality agreements, group purchasing organization and buying group agreements, and franchising agreements.

3. Ensure that all contracts or ! agreements accurately reflect the Company's business objective! s as well as compliance with all laws and regulatory requirements.

4. Appraise and keep management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of the Company.

5. Anticipate and guard against legal risks involving the Company.

6. Work collaboratively with other associates in the Legal Department, as well as Company executives and business unit leaders of various operating divisions, in particular those that support sales and marketing.

7. Develop workflow processes to ensure the Company and personnel are adhering to contractual deliverables, compliance and related obligations.

8. Participate in business development meetings and strategic planning sessions to ensure commitments and obligations are in the Company's best interest and no conflict of interest or other issues exist.

9. Performs related duties as assigned.

Under general supervisio! n of the division lead attorney provides legal advice and assistance to Corporate and subsidiary management relative to the Companys business activities keeping the business within the limits prescribed by law and corporate policy. AmerisourceBergens legal associates have an important impact on business operations by protecting the Companys interest from a legal perspective as represented by the accuracy of advice given and propriety of decisions made on the Corporations behalf.

Prepares and examines contracts involving key items such as leases licenses purchases sales and insurance; reviews draws up and negotiates such contracts to ensure that these contracts accurately express the Company's objectives.
Appraises and keeps management informed about the impact of legislative judicial and regulatory developments affecting the policies and operations of AmerisourceBergen.
Anticipates and guards against legal risks involving the Company.
Represents the ! Company in litigation and other dispute resolution proceedings and befo! re various governmental agencies.
Reviews and approves advertising copy and public statements from a legal perspective.
Provides legal advice to the organization with respect to corporate administration prepares resolutions and forms and participates in major legal actions.
Develops workflow processes to ensure Company is compiling with contractual deliverables and obligations.
Responsible for foreseeing and protecting the Company against legal risks.
Works closely with executives and key associates of the Corporation and its subsidiaries on matters relating to the legal affairs of the Company.
Participates in business development meetings and strategic planning meetings to ensure contractual obligations are in the Company's best interest and no conflict of interest or other issues exist.
Performs related duties as assigned.

Minimum Experience and Education Requirements:
Law Degree - must be a graduate of an accredited law sch! ool and admitted into the State bar association. Minimum five â€" seven years experience with emphasis on contracting and/or corporate commercial matters. Prior in-house and/or healthcare experience preferred, but not a requirement. Broad training and familiarity in business administration, accounting, credit finance, sales and marketing also helpful.

Minimum Skills, Knowledge, and Ability Requirements:
1. Strong background in contract law, commercial transactions, corporate governance, negotiations and document preparation

2. Working knowledge of corporate law including SEC regulations, document preparation, litigation, healthcare law (Fraud and Abuse and the Anti-Kickback Statute), anti-trust, regulatory agencies (DEA and FDA) and procedures; logistics and distribution

3. Goal oriented; demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner

4. Hands-on attorney,! with limited use or reliance upon outside counsel

5. Familiar! with a variety of the field's concepts, practices and legal procedures

6. Excellent communicate skills, both orally and in writing

7. Strong interpersonal skills; tactful and discretion

8. Team player with passion, energy and commitment

9. Excellent judgment and ability to resolve complex issues effectively

10. Strong negotiating skills

11. Strong leadership skills

12. Strong presentation skills

13. Strong organizational skills; attention to detail
