Provides legal services and strategy on very complex projects or cases. Anticipates legal issues/problems and designs strategies to address, suggest ! resolution of broader business problems. Provides counsel to senior management, may be widely regarded as subject matter expert. May be Unit Head and/or Lead Attorney for business or functional unit. Accurately analyzes risks and recommends alternative approaches. Represents Company with external constituents to help create favorable regulatory environment. Works with public affairs area to manage external and internal reactions. Looked to as senior decision-maker. Member of the business unit team; attends team meetings. May select and supervise outside counsel on very complex projects or cases. Recruits, manages and develops staff. 10+ years experience. Management experience required. JD/Bar Membership. .
Responsible for performing the role of Associate Corporate Secretary as required by state corporation laws and in accordance with Cigna's established corporate by-laws. Provide a leading role in the companyâs corporate governance. One of the key responsibilities of ! the Associate Corporate Secretary is to ensure that Board memb! ers have the proper advice and resources for discharging their fiduciary duties to shareholders under state law. Additionally, this position will be responsible for ensuring that the records, or minutes of the Board's actions during a Board meeting, reflect the proper exercise of those fiduciary duties.
While the duty of recording accurate and sufficient documentation to meet legal requirements (record management) is of primary importance, the Corporate Secretary is also a confidante and resource to the Board and senior management, providing advice and counsel on board responsibilities and logistics.
Manage all board and committee meeting logistics, attend and record minutes of all board and committee meetings; facilitate board communications;
Advise the Board on its roles and responsibilities;
Facilitate the orientation of new Directors and assist in Director training and development;
Maintain key corporate documents and records! ;
Responsible for corporate disclosure and compliance with state corporation laws, stock exchange listing standards and SEC reporting and compliance;
Oversight of preparation and distribution of proxy statement;
Manage process pertaining to the annual shareholder meeting;
Subsidiary management and governance;
Monitor corporate governance developments and assist the Board in tailoring governance practices to meet the Board's needs and investor expectations;
Serve as a focal point for investor communication and engagement on corporate governance and other securities issues.
Oversight of financing and other treasury law support
Qualifications & Experience
10+ years experience handling corporate governance matters for large, global corporation
Strong leadership and people management skills
Excellent attention to detail and project management capabilities
Ability to work i! n a highly matrixed organization
Highly effective written and ! verbal communication skills
