POSITION SUMMARY
The position is responsible for reviewing and drafting (i) fili! ngs with the Securities and Exchange Commission (“SECâ€), including registration statements, Forms 10-K, 10-Q, 8-K and the annual Proxy Statement, (ii) student loan documents, (iii) Company debt documents, (iv) assisting the General Counsel in matters related to the Board of Directors, as necessary, and (v) material agreements that arise in the ordinary course of business. The attorney will work closely with the Finance Department and, to the extent necessary, outside counsel in connection with filings with the SEC and revisions to debt documents.
KEY JOB ELEMENTS
(1) Work with outside counsel and underwriters’ counsel in connection with drafting and filing of registration statements with the SEC
(2) Draft or review all sections of the Company’s Annual Report on Form 10-K
(3) Review Quarterly Reports on Form 10-Q
(4) Prepare and file with the SEC Periodic Reports on Form 8-K
(5) Prepare and file all disclosures of! changes in stock ownership required by Section 16 of the Secu! rities and Exchange Act
(6) Reviewing and periodically revising internal loan documents with students attending the Company’s post-secondary institutions
(7) Review and work with outside counsel on any revisions to the Company’s debt documents
(8) Review and periodically negotiate material agreements entered into by the Company and its post-secondary institutions
(9) Researching and advising the General Counsel and Board of Directors on director fiduciary duties and disclosure issues related to the securities laws.
ORGANIZATIONAL RELATIONSHIPS
Position reports to the General Counsel.
POSITION REQUIREMENTS
The position requires a law degree and a minimum of five years experience in securities law. Candidates should also have experience drafting and reviewing debt agreements. Previous in-house experience preferred.
