More details about this position opportunity please read the description below. Our client, a leader in its field, seeks a skilled and experienced software licensing and general contracts attorney.
The respon! sibilities for this anticipated long-term temp assignment,
with the strong possibility of Temp2Perm/FT,
include:
1/ Negotiate customer license and services contracts in the United States; 2/ Work closely with the sales and finance organization to ensure that transactions meet business and finance goals; 3/ Negotiate non-disclosure agreements, contract addenda and vendor contracts; 4/ Prepare form contracts in the various territories; 5/ Assist in educating regional employees and ensuring compliance with our company's corporate and global licensing policies, US based laws and regulations (as applicable, e.g., FCPA, OFAC, SOX and SEC regulations) and local laws; 6/ Provide legal advice on regional or country-specific legal issues as directed, and; 7/ Work with legal department to support and advise sales management on risk management issues.
Additionally, you would be expected to:
1/Communicate and coordinate with regional sale! s, finance and other relevant personnel as necessary, and; 2/W! ork with outside counsel in the various territories.
The most important Qualifications and Expectations for this position are summarized as:
1/ You must be a qualified Attorney in the US, i.e., you must be licensed, active and in good-standing in at least one state; 2/ You should possess 5+ years of qualified legal experience with at least 3 years of in-house legal experience preferred; 3/ You should have experience with US GAAP software revenue recognition principles; 4/ You should have experience in a software or technology company: this is desirable but not essential (experience representing or working for U.S. based company also desirable); 5/ You should have excellent interpersonal communication skills; 6/You should have a desire to work as part of a global team in a fast paced environment, and; 7/ You should have a working knowledge of the Sarbanes-Oxley Act and U.S. SEC regulations and their application to a global business and to subsidiary reporti! ng requirements desirable.
In addition, proficiency in Spanish or Portugese would be an added Plus.
